Please read the following Terms of Use (the “Terms“) before using the website available at robic.ca (the “Website“). By accessing and using the Website, you agree to be bound by these Terms, as defined by ROBIC LLP (collectively, “ROBIC“, “we“, “us” or “our“), and by our Privacy Policy, which forms an integral part of these Terms. By accepting these Terms and each time you use the Website, you consent to the collection, use and disclosure of your personal information in accordance with the Policy.
The information contained in this Website is intended to inform the reader about our firm and about matters of general interest relating to intellectual property law, business law and information technology. It is provided for information purposes only. It does not constitute legal advice and should in no way be considered as such. The content of the Website or any part of it may be out of date at any time, and we are under no obligation to update it or to provide any indication of its currency. You should not act, or fail to act, solely on the basis of the documents available on the Website. You should always seek legal advice.
The Website is only accessible to users who can legally enter into contracts in accordance with the applicable laws. By using the Website, you declare and warrant that you are of legal age in your place of residence to enter into a contract.

1.1. Access and use. You are authorised to access and use the Website solely for your personal, non-commercial use to consult the information and content available on the Website.
1.2. Restrictions. You are prohibited from (i) using the Website for purposes other than those set out in these Terms and Conditions, (ii) copying, distributing or disclosing any part of the Website on any medium whatsoever, including by means of any automated or non-automated “web scraping” tool or technique, (iii) using any automated system, including robots, “spiders” and “offline readers“, to access the Website, (iv) transmitting, via the Website, spam or any other unsolicited content, (v) attempt to interfere with or compromise the integrity or security of the servers running the Website or decrypt any transmissions to or from them, (vi) take any action which in our sole discretion imposes or may impose an unreasonable or disproportionately large load on the Website’s infrastructure, (vii) upload or download any invalid data, viruses, worms or other malicious software through the Website, (viii) collect, extract or harvest, or attempt to do so, any personal information from the Website, (ix) impersonate any person or misrepresent your affiliation with a person or entity, commit fraud, conceal or attempt to conceal your identity, (x) interfere with the proper working of the Website, (xi) access any content on the Website through any technology or means other than those provided or authorized by the Website, (xii) circumvent any measures ROBIC may use to prevent or restrict access to the Website, including features which prevent or restrict the use or copying of any content or apply restrictions to the use of the Website or its content, (xiii) modify, disassemble, decompile, reverse engineer (as defined below), adapt or create derivative works from the Website, or (xiv) use the Website in violation of any applicable laws.
1.3. Artificial intelligence. No part of the content of the Website may be used, directly or indirectly, to train, improve or refine an algorithm, an artificial intelligence model, a machine learning system or any other technological system based on data processing, without the express written authorisation of ROBIC. This prohibition applies to any form of data collection, including by means of analysis tools, or any other similar mechanism.
1.4. Investigation and prosecution. ROBIC reserves the right to restrict, suspend or deny access to the Website to any person or entity attempting to violate the limits imposed or to circumvent any security mechanism in place. Any breach of these prohibitions may give rise to legal proceedings and claims for damages, as well as any other measure deemed necessary to protect ROBIC’s rights and interests.
2.1. Electronic Communications transmitted by ROBIC. Electronic communications transmitted or received by ROBIC or any of its members through this Website are not intended to establish or constitute a solicitor-client communication or relationship. In addition, the confidentiality of electronic transmissions through the Website is not guaranteed. If you wish to transmit confidential information to one of our members, please contact us before transmitting the information in question.
2.2. Unsolicited email or other mailings. We ask that you do not use the information on this Website, including email addresses, to transmit, distribute or facilitate the transmission of unsolicited email or other mailings to ROBIC or its directors or employees.
3.1. Trademarks. All trademarks and trade names (including words, expressions and logos) used or otherwise displayed by ROBIC on the website are the property of ROBIC , its partners or its licensors. 3.2. Copyright. All original works reproduced or published on the Website are protected by copyright. The owner of the copyright in each work reserves all rights in and to that work. You acknowledge that it is an infringement of copyright for any person to do anything, without the consent of the copyright owner, that only the copyright owner has the right to do under applicable copyright laws.
3.3. Other rights. The Website may also be protected by industrial designs or patents. As between you and us, ROBIC reserves all rights on the Website not expressly granted. You agree not to use, copy or distribute the contents of the Website other than as expressly permitted.
3.4. Feedback. ROBIC shall be free to use, profit from, disclose, publish, keep secret, or otherwise exploit any comments, suggestions or other ideas for improving or otherwise modifying the Website or any of ROBIC’s products or services (the “Feedback“), without compensation or attribution to you or any person responsible for such Feedback. By providing Feedback, you grant ROBIC an irrevocable, non-exclusive, non-transferable, worldwide, fully paid (with right to sublicense), royalty-free license to use such Feedback.
3.5. Documentation. ROBIC may from time to time provide you with documentation, either online or in any material form, describing the features, operation and use of the Website (the “Documentation“). You understand and agree that you may reproduce and use the Documentation only as necessary to enable you to use the Website.
3.6. Reverse Engineering. You must not carry out any Reverse Engineering (as defined below) or attempt to carry out any type of Reverse Engineering on the Website. “Reverse Engineering” includes, without limitation, any act of reverse engineering, translation, disassembly, decompilation, decryption or deconstruction (including “cable sniffing” or “black box” reverse engineering) or any method or process of obtaining or converting information, data or software from a form to a human-readable form.

You acknowledge and agree that ROBIC is not responsible for the availability of such External Sites or the accuracy of the content, products or services available on such External Sites. By using the Website, you expressly release ROBIC from any and all liability arising from your use of any External Sites, and you are bound by the terms of use and privacy policies applicable to such External Sites.
4.2. Integration of the Website. The Website must not be integrated into any other website, and you may not create a link to any part of our Website other than the home page at www.robic.ca. The link must be legitimate and must not in any way be derogatory, defamatory or otherwise prejudicial. The link must not damage our reputation or take advantage of it. In addition, the link must not suggest any form of association, approval or endorsement on the part of ROBIC or the IPH Group, if none exists. We reserve the right to withdraw authorisation to create links without prior notice. The Website is provided to you “as is” and “as available” without warranty of any kind. To the fullest extent permissible pursuant to applicable law, ROBIC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, freedom from error, suitability of content or availability. While ROBIC uses reasonable efforts to ensure that the information presented on the Website is complete and accurate, ROBIC cannot guarantee that such information is free from errors, omissions and inaccuracies. ROBIC does not warrant the quality of any content accessed or obtained through the Website.
You acknowledge and agree that you assume all risks arising out of your access to or use of the Website, whether such use is lawful or unlawful. To the fullest extent permitted by applicable law, in no event will ROBIC, its affiliates, directors, employees, agents, licensors or its successors and assignees be liable for damages of any kind, including, without limitation, loss of use, loss of profits, whether in contract, tort or otherwise, resulting directly or indirectly from the use or performance of the Website, including any damage caused by or resulting from reliance on any information obtained through the Website, or resulting from any error, omission, interruption, deletion of files or emails, defect, virus, delay in operation or transmission or any failure of performance.
By using the Website, you agree to defend, indemnify and hold harmless ROBIC and its officers, agents, directors, employees, licensors and assignees from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs or debts, and expenses (including attorneys’ fees and expenses) and amounts paid in settlement arising out of or related to your use of the Website, or your violation of these Terms or the rights of third parties. ROBIC may assume the exclusive defense and control of any matter for which you have agreed to indemnify ROBIC and you agree to assist and cooperate with ROBIC in the defense or settlement of any such matter.
8.1. Survival of provisions. The provisions which, by their nature, should survive the termination of these Terms will survive such termination, including the provisions relating to intellectual property and indemnification as well as the disclaimers and limitations of liability.
8.2. Entire Agreement. These Terms supersede any prior agreements between you and ROBIC regarding the matters contemplated herein and constitute the entire agreement between you and ROBIC.
8.3. Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder.
8.4. Applicable law. These Terms shall be governed by, construed and enforced in accordance with the laws of the Province of Quebec (Canada) and applicable federal laws, without regard to their conflict of law rules.
8.5. Waiver. ROBIC’s failure or delay in exercising any right, remedy, power or privilege under the Terms shall not constitute a waiver of such right, remedy, power or privilege. To be effective, a waiver must be in writing and signed by ROBIC. A written waiver of any default shall not be construed as a waiver of any other default or default of the same nature which may occur in the future.
8.6. Invalidity or inapplicability. In the event that one or more provisions of these Terms are declared invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions of these Terms. These Conditions will then be interpreted as if the invalid or inapplicable provision had never formed part of these Conditions.
