ThissectionprovidesforalicensingschemewherebytheCopyrightBoard
mayissueanon-exclusivelicenceforcertainuseofaworkorothersubject-
matterofcopyright,thecopyrightownerofwhichisunlocatable.
§5.0Commentary
§5.1General
Section77dealswiththecircumstanceswheretheCopyrightBoardmay
grantanon-exclusivelicencetodoanactdescribed
·insubsection3(1)oftheCopyrightActwithrespecttoapublished
work,
·insubsection15(1)withrespecttoafixationofaperformer’s
perdormance;
·insubsection18(1)withrespecttoapublishedsoundrecording;or
·insubsection21(1)withrespecttoafixationofacommunication
signal
thecopyrightownerofwhichcannotbelocated.
§5.2ScopeofApplication
§5.2.1WhatIsCovered
Forsection77toapply,severalconditionsaretobemet:
i)Astotheworkorothersubject-matterofcopyright,ithastobe
published(withinthemeaningofparagraph2.2(1)(a)forworks
andwithinthemeaningofparagraph2.2(1)(b)forsound

ii)Copyrightshallsubsistintheworkorothersubject-matterof

unlocatable.
Inthatlastregarditshouldbestressedthatthissectionisconcernedonlywith
theunlocatablecopyrightownerandnotwithunlocatableauthor,whether
deceasedoralive.Comparewithsection8[repealedbyS.C.1993,c.44,s.
59]whichdealswiththereproductionofapublishedworkafterthedeathof
theauthor,irrespectiveoftherightsthatmaysubsistinfavorofthecopyright
owner.
§5.2.2UnlocatableOwner
TheapplicantmustsatisfytheCopyrightBoardthathehasmade,inthe
circumstances,reasonableeffortstolocatethecopyrightowner.
Thenatureandextentoftheseresearchmayvarygreatlyaccordingtothe
typeofworkorothersubject-matter,thenatureofitspublicationandits
modeormediumofexploitation/distribution.Theseresearcharenot
restrictedtoCanadabutshouldrathercoverprobableplaceswherethe
ownerofthecopyrightmaybelocated.
Consultationoftherepertoiresofcopyrightlicensingbodiesandcreators
collectives,nationallibrariesindex,copyrightofficesregistrationsystems,
publishinghouses,corporaterecordsandthelike.Asamatterofpractice,
theCopyrightBoardwillasktheapplicanttoindicatepreciselyallthesteps
undertooktolocatethecopyrightownerandwillrequiretheapplicanttofile
anaffidavittothiseffectaswellasallthedocumentsevidencingsuchefforts.
§5.2.3Non-ExclusiveLicence
ThejuridictionoftheCopyrightBoardtoissuealicenceundersection77is
limitedtothegrantof
i)anon-exclusivelicence,
ii)todoanactreferedtoinsubsections3(1),15(1),18(1)or21(1),
iii)foradeterminedperiod.
Suchlicencecanonlycovertheexclusiverightsofthecopyrightowner
depicted
·insubsection3(1),asproducing,reproducing,performing,
delivering,translating,converting,makingarecord,adapting,
telecommunicating,exhibiting,rentingoutasoundrecordingor
authorizingoneoftheaforesaidwithrespecttoapublished
copyrightedwork[itwillnotincludetherighttofirstpublication
aspublicationoftheworkisaprerequisitefortheoperationof
section77];
·inparagraph15(1)(b),asreproducingafixation,reproducinga

ThelicencegrantedbytheCopyrightBoardisprospectiveinnatureandnot
retrospective.Therefore,alicencegrantedundersection77shouldnot
operateasabartoanactionforaninfringementwhichoccuredpriortothe

WhethertheCopyrightBoardhasjurisdictiontoissuealicencetoadapta
workisalsodebattableeventhoughinthepastalicencetoreproduceand

Asimilarquestioninregardoftherighttotheintegrityofaworkcouldbe

Itshouldbeconcludedthatthegrantofalicenceundersection77willonly
operateasabartoanactionfortheinfringementoftheeconomicrightsofa
copyrightownerbutnotagainstanactionfortheinfringementofthemoral
rightsofanauthororofanyotherrightsconferredbylaw.Forinstance,a
licencetouseaphotographthecopyrightownerofwhichisunknownwillnot
preventthemodeltosueforinvasionofhisprivacy.
Ontheotherhand,thelicencethatcouldbegrantedbytheCopyright
Boardundersection77couldcoverthewholeoranimportantpartofthe
workorothersubject-matter,thecopyrightownerofwhichcannotbe

§5.2.4Conditions
TheCopyrightBoardmaysubjecttheissuanceofthelicencetothetermsand
conditionsitdeemsfit,amongstwhich,theexpirydateofthelicence,the
typeofusewhichisauthorized,thelicencefee,theholdingoffundsandthe
disposalofunclaimedfunds,themannerinwhichtoguaranteeeventual
paymentoftherights,andthelike.
Inordertoascertaintheroyaltiestobepaid,theCopyrightBoardmay,for
instance,refertothetariffsofcollectivesforsimilargrant,comparisonwith
similarlicencesgrantedoutsidethelicensingschemesofsection77orthe
circumstancesandpurposesoftherequestedlicence.See,forinstance,

Finally,theuseofthewords”theBoardmayissue”[inFrench”LaCommission
peut
(…)délivrer”]suggestthattheCopyrightBoardisvestedwithsome
discretionwithrespecttotheissuanceofsuchalicence.Forinstance,it
mightbethatevenifalltheconditionsreferedtointhesectionarefulfilled
theCopyrightBoardmightstillrefusetoissuealicence,foritspurposebeing
improperorderogatorytotheworkoritsauthor.Thisinterpretationhasyetto
betestedbythecourts.
§5.3Mechanics
Despitesubsections66.6(1)whichentitlestheCopyrightBoardtomake
regulationsgoverning,interalia,thepracticeandprocedureaswellasthe
formsandnoticesforapplicationsandsubsection77(4)whichentitlethe
CopyrightBoardtomakeregulationsgoverningtheissuanceoflicenceunder
section77,nosuchregulationshavebeenadopted.Seehowever,the
CopyrightBoardRulesofPracticeandofProcedureannouncedinthe1997
FederalRegulatoryPlan.
Astowhocanapplytoobtainalicence,itisofinteresttocomparethe
Frenchtext”toutintéressé”withthepossiblymorerestrictiveEnglishtext”a
personwhowishestoobtain”.
TheCopyrightBoardmustnesatisfiedthattheapplicanthasmade
reasonableeffortstolocatetheownerofthecopyright.Itmightbestressed
that”reasonableefforts”doescertainlynotamountto”everyefforts”.Thisview
isfurtherconfortedbytheFrenchtext,whichqualifiesthereasonablenessof

Theissueofwhoshouldholdthemoniesintrustisamoredelicateone.Giventhe
circumstancesofthecase,theBoardhaslittledifficultyinleavingthisamountintrust
withtheapplicant=ssolicitors,atleastforthetimebeing.Intime,theBoardintends
toholdahearingontheprinciplesthatshouldgoverntheissuanceoflicencesunder

AlicencefromtheBoardwillonlyprovideyouwithalimitedrightofusewithinCanada.
ItisnotvalidoutsideCanada.Youareboundbythelawsofeachcountryinwhichyou
usethatwork,eveniftheauthorisCanadian.
Arethecopyrightowner’sinterests,foryourintendeduseofthework,administeredbya
licensingbody?
Alicensingbodyisanorganizationthatadministersthecopyrightinterestsofalarge
numberofcopyrightowners.Itcangrantpermissiontousetheirworksandstipulatethe
conditionsunderwhichtheworksmaybeused.Collectiveadministrationofcopyright
bylicensingbodiesiswidespreadinCanada,particularlyformusicperformancerights,
reprographyrightsandmechanicalreproductionrights.Certainlicensingbodieshave
affiliationagreementswithforeignsocietiesthatallowthemtorepresenttheirmembers

possi-ble.Forexample,ifyouareseekingtoreproducewrittenmaterialthat
youwillincludeinabook,indicatethelengthofthetext,thatofthebook,
howitwillbeusedand,ifitistobesold,thesuggestedsaleprice.Ifpossible,
providethematerialtobeused;
·Howsoonyouplantousetheworkandforhowlong;
·Theresultsofyourinquiriesregardingtheroyaltieswhichthecopyrightowner
couldhaveclaimedfromyoufortheintendeduse;
·Adetaileddescriptionofalleffortsmadetotrytofindthecopyrightowner
